1. Overview & Acceptance

These Terms and Conditions (“Terms”) govern all consulting, branding, documentation, and digital development services provided by Ocybuild Studios (“we”, “us”, or “Studio”) to clients (“Client” or “you”). By engaging our services, commissioning a project, or submitting a project brief, you agree to these Terms.

2. Scope of Services

Ocybuild Studios provides commercial setup and creative engineering across four core capabilities:

• Business Process & Setup: Operational audits, workflow mapping, organizational structures, recruitment protocols, and standard operating procedures (SOPs).
• Branding & Documentation: Logo identity systems, brand guideline manuals, corporate stationery, invoice and receipt templates, and internal compliance documentation.
• Web Design & Digital Portfolios: Custom website design, responsive frontend architecture, technical search optimization (SEO), and deployment.
• Implementation: Hands-on operational onboarding to ensure systems function in practice, not merely as theoretical presentations.

Every engagement is accompanied by a written project proposal or statement of work detailing the specific deliverables, turnaround milestones, and pricing.

3. Transparent Pricing & Payment Milestones

We believe financial clarity protects both parties:

• Part-Payment Upfront: To initiate any project, a commitment deposit (typically 50% of the total project fee, unless otherwise specified in your formal proposal) is required to secure studio time and scheduling.
• Milestone Delivery: Remaining balances are payable upon presentation and final approval of deliverables prior to production file handoff or domain launch.
• Escrow Support: For international or multi-phase enterprise projects, we support mutually agreed third-party escrow arrangements.
• Currency: Fees are quoted in Ghanaian Cedis (GH¢) for domestic engagements or USD ($) for international contracts.

4. Revisions & Client Approvals

Each service tier includes dedicated revision rounds (typically 2 to 3 iterations) within the agreed scope to refine designs, copy, and layouts to your complete satisfaction. Substantive changes outside the originally agreed brief will be quoted transparently as an addendum before additional work begins.

5. Intellectual Property Rights (100% Client Ownership)

Upon receipt of full and final payment:

• Your Assets: You receive 100% ownership and worldwide intellectual property rights to the final deliverables created for your business (including final logo vector artwork, website code, custom copy, and documentation).
• Pre-existing Studio Tools: Any proprietary internal starter frameworks or open-source software libraries remain under their respective licenses, with a perpetual, royalty-free license granted to you for your business operations.
• Portfolio Attribution: Unless a non-disclosure agreement (NDA) is executed prior to kickoff, Ocybuild Studios reserves the right to display completed, publicly accessible work in our studio portfolio and case studies.

6. Client Responsibilities & Materials

You warrant that any text, images, trademarks, or content provided to us for inclusion in your brand or website are either owned by you or that you possess written permission to use them. You agree to provide timely feedback during scheduled review windows to preserve the project schedule.

7. Confidentiality

Both parties agree to keep confidential all proprietary business information, financial details, and strategic operational audits disclosed during the course of the project, both during and following completion of the engagement.

8. Limitation of Liability

Ocybuild Studios provides services with high professional care and industry-standard best practices. To the maximum extent permitted by applicable law, Ocybuild Studios shall not be liable for indirect, incidental, or consequential commercial damages. Our maximum aggregate liability arising from any engagement shall not exceed the total fees paid by the client under the applicable project contract.

9. Governing Law & Dispute Resolution

These Terms shall be construed and governed in accordance with the laws of the Republic of Ghana. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith amicable negotiation. If unresolved, disputes shall be submitted to the jurisdiction of the competent courts in Accra, Ghana.
